1. AGREEMENT TO TERMS

These Terms and Conditions, together with the Service Agreement, constitute a legally binding agreement made between the Client identified in the Service Agreement and Resilience Nuance Solutions (“RNS”), concerning Client’s access to and use of https://rns.solutions (the “Site”). Client agrees that by accessing the Site, Client has read, understood, and agreed to be bound by all of these Terms and Conditions.
RNS reserves the right, in its sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. Updated Terms and Conditions will be posted on the Site. Client will be subject to, and deemed to have accepted, any revised Terms and Conditions by continuing to use the Site after such changes are posted.
2. CLIENT ACCESS AND CLIENT DATA
RNS grants Client a non-exclusive, non-transferable right to access the Site and use the Services during the term, solely for Client’s internal business use by authorized users in accordance with these Terms and Conditions. RNS shall provide necessary access credentials.
Unless otherwise agreed in writing, the total number of authorized users shall not exceed five (5). As between RNS and Client, Client retains all right, title, and interest in Client data uploaded to the Site. Client grants RNS a non-exclusive, royalty-free, worldwide license to use Client data solely as necessary to provide the Services.
Notwithstanding the foregoing, all insights, optimizations, learnings, or adaptations generated by RNS’s systems or artificial intelligence in connection with providing the Services shall be the exclusive property of RNS.
3. RNS INTELLECTUAL PROPERTY RIGHTS
Client acknowledges that RNS owns all right, title, and interest in and to the Site, Services, and all related intellectual property, including software, source code, designs, content, trademarks, service marks, and logos (“Content” and “Marks”).
Client shall not copy, modify, distribute, sublicense, reverse engineer, decompile, or otherwise misuse the Site or Services beyond the scope expressly permitted under these Terms and Conditions.
4. CLIENT REPRESENTATIONS
By using the Site, Client represents and warrants that:
All registration information is accurate and current
Client will maintain accurate information
Client will comply with these Terms and Conditions
Client will not access the Site via automated means
Client will not use the Site for unlawful purposes
Client’s use will not violate any applicable law
Client has obtained all legally required consents to allow RNS to contact prospective customers on Client’s behalf
RNS reserves the right to suspend or terminate access if information is false, inaccurate, or incomplete.
5. CLIENT REGISTRATION
Client is responsible for maintaining the confidentiality of login credentials. RNS reserves the right to modify or reclaim usernames deemed inappropriate or objectionable.
6. CONFIDENTIALITY
Both Parties may disclose confidential information during the term of this Agreement. Confidential Information shall be protected with commercially reasonable care and used solely to perform obligations under this Agreement.
Confidential Information does not include information that is publicly available, independently developed, lawfully obtained, or required to be disclosed by law. Obligations under this Section survive for three (3) years following disclosure unless superseded by a separate NDA.
7. CANCELLATION
Upon termination of Services by either Party, Client remains responsible for payment of all appointments or services scheduled through the effective termination date.
8. PROHIBITED ACTIVITIES
Client agrees not to misuse the Site, including but not limited to harassment, illegal activity, malware transmission, automation abuse, impersonation, system interference, reverse engineering, scraping, or using the Site to compete with RNS.
9. WARRANTIES AND DISCLAIMER
RNS warrants that Services will comply with applicable laws and will not knowingly contain malicious code. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED “AS IS,” AND RNS DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. SUBMISSIONS
All feedback or submissions provided by Client become the exclusive property of RNS and may be used without restriction or compensation.
11. PRIVACY POLICY
RNS values data privacy and security. Client agrees to be bound by RNS’s Privacy Policy available on the Site. The Site is hosted in Canada, By using the Site, Client consents to the transfer and processing of data in Canada.
12. TERMINATION BY RNS
RNS reserves the right, without notice or liability, to suspend or terminate Client access for any reason, including breach of these Terms or applicable law.
13. MODIFICATIONS AND INTERRUPTIONS
RNS may modify, suspend, or discontinue the Site at any time without liability. RNS is not obligated to provide updates, maintenance, or support.
14. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
15. DISPUTE RESOLUTION
Disputes shall first be addressed through informal negotiations, followed by binding arbitration administered by the American Arbitration Association in San Francisco, California, unless otherwise excluded.
16. CORRECTIONS
RNS reserves the right to correct errors or omissions on the Site at any time without notice.
17. LIMITATION OF LIABILITY
RNS shall not be liable for indirect, incidental, consequential, or punitive damages. Liability shall be limited to amounts paid by Client to RNS in the six (6) months preceding the claim.
18. INDEMNIFICATION
RNS shall indemnify Client against third-party IP infringement claims related to the Services. Client shall indemnify RNS against claims arising from misuse of the Site, breach of these Terms, or violation of third-party rights.
19. DATA SECURITY / RESTRICTIONS ON USE
RNS employs reasonable safeguards to protect Client data and uses such data solely to provide Services. Client data will not be sold or shared except as required by law.
20. DATA BACKUPS
RNS performs routine backups but Client remains responsible for maintaining copies of its data. RNS shall not be liable for data loss or corruption.
21. ELECTRONIC COMMUNICATIONS
Client consents to electronic communications, records, signatures, and notices related to the Site and Services.
22. FORCE MAJEURE
Neither Party shall be liable for failure or delay caused by events beyond reasonable control.
23. MISCELLANEOUS
These Terms constitute the entire agreement. No partnership, agency, or joint venture is created. RNS may assign its rights freely.
